Oracle filed plans for $20 billion in stock and senior-note offerings.

Why it matters: The financing comes as Oracle plans substantial infrastructure expansion, but the filings allow broad uses of proceeds rather than earmarking funds specifically for AI infrastructure. The offering could dilute shareholders and increase Oracle's interest and repayment obligations.

  • Oracle filed concurrent offerings of $10 billion in common stock and $10 billion in senior notes on November 2, 2026.
  • The assumed stock sale would add about 76.5 million shares, or approximately 2.5% of the estimated pre-offering share count.
  • Oracle's November 2 filings cite $125.3 billion in senior unsecured borrowings and $236.1 billion in consolidated liabilities as of August 31, 2026.
  • The filings cite $55.663 billion in fiscal 2026 capital expenditures and negative $23.686 billion in trailing-four-quarter free cash flow.

Oracle filed a preliminary stock prospectus and a preliminary debt prospectus on November 2, 2026. The offerings are not contingent on each other.

Using Oracle's October 30 closing price of $130.67, the company estimated that a $10 billion stock sale would produce about 76.5 million new shares and roughly 3.10 billion shares outstanding after the offering. That implies approximately 2.5% dilution against an estimated pre-offering share count of about 3.02 billion shares. Final dilution will depend on the offering price.

The debt offering covers up to $10 billion of senior notes, including floating-rate notes due in 2029 and fixed-rate notes due in 2029, 2031, 2033, 2037 and 2046. Coupon rates, issue prices and final allocations had not been determined in the preliminary filing.

Oracle said proceeds may support broad general corporate purposes, including capital expenditures, debt repayment, investments or acquisitions, dividends and share repurchases. The filings do not allocate a fixed amount specifically to AI infrastructure. The November 2 filings also cite $125.3 billion of senior unsecured borrowings and $236.1 billion of consolidated liabilities as of August 31, 2026, along with $55.663 billion in fiscal 2026 capital expenditures and negative $23.686 billion in trailing-four-quarter free cash flow.

The plan follows Oracle's investor-day funding framework. Through fiscal 2030, Oracle limits additional capital-market funding to $20 billion excluding refinancing, split evenly between equity and new gross debt. That framework is separate from the current offering. Oracle expects capital expenditures to peak in fiscal 2027 and fiscal 2028, then decline in fiscal 2029.

Oracle expects positive free cash flow in the second half of fiscal 2028 and at least $30 billion in fiscal 2029. Its existing 6.85% bonds due in 2066 fell more than 1.2 cents on the dollar after the plans were disclosed, according to a Reuters report carried by MarketScreener. The cited report does not provide a precise observation time or identify a separate market-data source.

By the numbers

  • $20 billion - total proposed raise, split between $10 billion of stock and $10 billion of senior notes
  • $125.3 billion - senior unsecured borrowings cited as of August 31, 2026
  • $55.663 billion - fiscal 2026 capital expenditures cited in Oracle's November 2 filings

Yes, but: The preliminary filings do not set coupon rates, issue prices or final allocations, and their broad use-of-proceeds language does not establish how much, if any, will fund AI infrastructure.

What's next: Oracle must set final offering terms, including the stock price, note coupons, issue prices and allocations.
